Inaugural meeting of the Board of Trustees

The Board of Trustees of the TISERF (Institute) met virtually for the first time on Wednesday, July, 12 2023. The meeting started at 6:05 PST. All nine of the Trustees (Dr. Mohamed Fayad, Dr. Charles Goodacre, Dr. James D. Johnson, Dr. William Ben Johnson, Dr. Nader Nadershahi, Dr. Ilan Rotstein, Dr. Shahrokh Shabahang. Dr. Clara Spatafore and Dr. Mahmoud Torabinejad) were in attendance. Dr. Mahmoud Torabinejad the Founder of the TISERF welcomed every one of the trustees and wished them good health and success. He then asked for approval of the agenda that he had distributed prior to this meeting. After approval of the agenda, Dr. Charles Goodacre offered prayers. Each Trustee introduced himself or herself and provided a brief biography. The Trustees went through the Constitution and Bylaws of the Institute that had been provided to them before the meeting. The Trustees approved the Constitution and Bylaws of the Institute. The Trustees then elected the executive members of the Institute as follows: President: Dr. Mahmoud Torabinejad, Vice President: Dr. Charles Goodacre, Secretary: Dr. Clara Spatafore and Treasurer: Dr. Jim Johnson. The Trustees discussed the name of the Institute and unanimously voted to stay as Torabinejad Institute of Surgical Education and Research Foundation (TISERF) and approved its new seal. Dr. Torabinejad gave an update on the location (30 Vista Montemar, Laguna Niguel CA 92677), tax status of the Institute (as a not for profit corporation as defined in section 502 © (3) of the Internal Revenue code), new website (www.tiserf.org), the ad for the upcoming surgical courses (from January 2024-January of 2025), and the Manual of Operation that had been distributed prior to the meeting. The Trustees would like to have the constitution and bylaws as well as the Manual of operation be place on the TISERF website. The Trustees then went through a lengthy discussion regarding the responsibilities, job description and financial compensation of a new Director of operation of the Institute. Dr. Torabinejad presented the name as the qualification of a possible Director of operation. The Trustees have asked this person to provide the tasks that he can accomplish, financial conditions and his qualifications. The trustees then discussed the budget of the Institute and association with educational institutions. They finally approved the members of the Boards of Advisors, and clinical and research faculty members of the Institute. The trustees would like to have another meeting after selection of a new Director of operation and determining the expenses for providing surgical courses. The meeting was adjourned at 7:25 PST.
